GrubGain Restaurant Partner Terms & Conditions

These Terms and Conditions (“Terms”) govern the partnership between you (“Restaurant Partner,” “you,” or “your”) and GrubGain Technologies Private Limited (“GrubGain,” “we,” “us,” or “our”) for onboarding and participating in the GrubGain platform.

1. Eligibility

To partner with GrubGain, you must:

• Be a registered food business with all necessary local, tax, and health certifications.
• Be authorized to enter into agreements on behalf of your establishment.
• Comply with all applicable laws and regulations in your operating jurisdiction.

2. Capital Program Terms

• GrubGain may offer interest-free working capital based on mutual agreement and eligibility evaluation.
• Capital is repayable through a customer-linked repayment model, where a portion of GrubGain-customer transactions is retained by GrubGain.
• In the event of prolonged inactivity or breach, GrubGain reserves the right to demand alternate repayment terms.

3. Discount Commitment

• Restaurant Partner agrees to offer a minimum fixed discount (%) to customers who transact via GrubGain.
• The agreed discount shall remain valid for a minimum of 90 days or until offered credit available with Grubgain unless modified by mutual consent.
• Changes to the discount must be notified to GrubGain at least 7 working days in advance.

4. Partner Responsibilities

The Restaurant Partner agrees to:

• Honor all discounts and promotional offers agreed or listed on/with the GrubGain platform.
• Maintain food quality, hygiene, and service standards.
• Provide accurate information (menu, pricing, operating hours, photos) and update it proactively.
• Display GrubGain branding (as applicable) at the restaurant and on packaging.

5. Payment & Settlement

• Payouts (net of agreed repayment, commissions, and applicable taxes) shall be made on a weekly basis, unless otherwise agreed.
• GrubGain reserves the right to deduct any pending dues or penalties from scheduled payouts.

6. Use of Data

• Restaurant agrees that GrubGain may collect and analyze transaction, performance, and customer engagement data for reporting and optimization purposes.
• Any sensitive data will be handled per GrubGain’s Privacy Policy and applicable data protection laws.

7. Intellectual Property

• The restaurant grants GrubGain a non-exclusive, royalty-free right to use its name, logo, images, and menu for promotional and operational purposes.
• All content provided must be original or properly licensed; GrubGain will not be liable for third-party IP violations.

8. Termination

• Either party may terminate this agreement with 30 days' written notice.
• GrubGain reserves the right to suspend or terminate the relationship immediately in cases of fraud, poor customer experience, legal violations, or repeated breach of terms.

9. Indemnity & Liability

• The Restaurant Partner shall indemnify GrubGain against any claims arising from food safety, service complaints, or regulatory violations.
• GrubGain shall not be liable for any indirect, incidental, or consequential damages.

10. Dispute Resolution

• Any dispute arising under these Terms shall be governed by the laws of [India / US, as applicable], and subject to arbitration in [City], in English, as per prevailing arbitration laws.

11. Miscellaneous

• These Terms may be updated from time to time. You will be notified of material changes.
• Continued use of the GrubGain platform post-updates constitutes acceptance of the revised Terms.

By signing up as a restaurant partner or accepting the onboarding terms digitally, you agree to be bound by these Terms & Conditions.
